Website Design & Development Terms & Conditions

These terms define the scope, payments, communication process, revisions, ownership, and delivery conditions for all website design and development projects.

1. Project Scope

The Service Provider agrees to design, develop, and deliver the website/application as per the approved proposal, quotation, or Statement of Work (SOW).

Only the features, pages, integrations, and functionality specifically mentioned in the approved quotation are included. Any additional work will be quoted separately.

2. Payment Terms

  • 30% Advance: Before commencement of the project. This is non-refundable.
  • 30% Second Milestone: After completion of design/development demo.
  • 40% Final Payment: Before website go-live and final handover.

Invoices must be paid within 7 calendar days unless otherwise agreed in writing.

3. Non-Refundable Advance

The advance payment is a booking and resource allocation fee. Once the project has commenced, the advance is strictly non-refundable as it covers planning, consultation, design, development time, and project management.

4. Project Timeline

Project timelines depend on timely receipt of content, approvals, credentials, and feedback from the Client. Any delay from the Client automatically extends the delivery schedule.

5. Client Responsibilities

  • Company information, logo, images, and content
  • Product or service details
  • Domain and hosting access, if applicable
  • API credentials, if applicable
  • Timely approvals and feedback

6. Communication Policy

To avoid misunderstandings, all official project communication shall be accepted only through Email or the designated Project Ticketing System.

Phone calls, WhatsApp messages, SMS, voice notes, social media messages, or verbal discussions are not considered official communication.

These channels may be used only for meeting scheduling, general discussion, or emergency coordination. Any instructions received through these channels must be confirmed via Email or Ticketing System before implementation.

7. Meetings

Online meetings are included as required during the project. Meetings exceeding 60 minutes, repeated meetings due to changing requirements, or onsite visits may incur additional charges unless included in the quotation.

8. Revision Policy

The project includes up to 3 rounds of revisions.

Revisions are limited to modifications of approved designs or content. New pages, new features, workflow changes, integrations, or redesigns after approval are considered additional work.

9. Scope Change Policy

Any modification outside the approved scope requires written approval, revised quotation, additional timeline, and additional payment.

10. Content Delay

If the Client fails to provide required content, approvals, or credentials for more than 15 calendar days, the project timeline will automatically be extended.

If the delay exceeds 30 calendar days, the project may be placed on hold. Resuming the project may require revised pricing and timelines.

11. Project Suspension

If milestone payments are delayed beyond 7 calendar days, the Service Provider reserves the right to suspend work until payment is received.

12. Late Payment

Delayed invoices may attract a late payment charge of 2% per month or the maximum amount permitted by applicable law on the outstanding balance.

13. Cancellation Policy

  • The advance payment shall remain non-refundable.
  • The Client shall pay for all completed work beyond the payments already made.
  • If development has crossed 50% completion, proportionate payment becomes applicable.
  • If development has crossed 90% completion, the project is considered substantially completed.
  • All designs, code, documentation, graphics, and assets remain with the Service Provider until full payment is received.

14. Project Acceptance

The Client shall review each milestone and provide feedback within 7 calendar days. If no feedback is received within this period, the milestone shall be deemed approved.

15. Go-Live Policy

The website will be deployed to the live server only after final approval and full payment. No source code, admin credentials, database backups, graphics, design files, or project files will be shared before complete payment.

16. Domain & Hosting

Unless specifically mentioned in the quotation, domain registration, hosting, SSL certificates, premium themes, plugins, third-party APIs, payment gateways, SMS/email gateways, cloud services, and external software licenses are excluded.

17. Third-Party Services

The Service Provider is not responsible for issues caused by hosting providers, domain registrars, payment gateways, Google services, Meta services, WhatsApp Business, external APIs, plugins, or software vendors.

18. Browser & Device Compatibility

The website will be tested on modern versions of major browsers and standard desktop, tablet, and mobile devices. Support for outdated browsers or unsupported devices is outside the agreed scope unless specifically mentioned.

19. Warranty & Free Support

The Service Provider provides 15 days of free technical support after project delivery. Free support covers bug fixes and technical errors related to delivered functionality only.

Free support does not include content updates, design modifications, new pages, new features, third-party integrations, SEO, performance optimization, hosting/server issues, or extra training.

20. Intellectual Property

All source code, designs, graphics, databases, UI/UX, documentation, and project assets remain the exclusive property of the Service Provider until all payments are received in full.

21. Confidentiality

Both parties agree to keep confidential all business information, credentials, pricing, technical documentation, and project materials shared during the engagement.

22. Limitation of Liability

The Service Provider's total liability shall not exceed the total amount actually paid by the Client. The Service Provider shall not be liable for indirect, consequential, incidental, special, or business losses.

23. Force Majeure

Neither party shall be liable for delays or failures caused by events beyond reasonable control, including natural disasters, government restrictions, internet outages, cyberattacks, power failures, pandemics, or other unforeseen circumstances.

24. Project Abandonment

If the Client remains unresponsive for more than 30 consecutive days, the project shall be considered abandoned. Reactivation may require revised pricing, timelines, and resource availability.

25. Dispute Resolution

The parties agree to first attempt to resolve any dispute through mutual discussion and good-faith negotiation. If unresolved, disputes shall be subject to the jurisdiction of competent courts in Bengaluru, Karnataka, India.

26. Entire Agreement

These Terms & Conditions, together with the approved quotation, proposal, Statement of Work, and any approved Change Requests, constitute the complete understanding between both parties.

27. Acceptance

The Client is deemed to have accepted these Terms & Conditions by signing the agreement, approving the quotation by email, confirming acceptance through email, paying the advance amount, or instructing the Service Provider to commence work.
